These Terms govern use of localclose.com, our forms, landing pages, telephone numbers, SMS/MMS programs, email communications, and real estate services. By using the site, submitting information, calling, texting, emailing, or signing documents with Local Close, you agree to these Terms.
1. Services
Local Close provides real estate information, property evaluation, lead intake, marketing, communication, and transaction-related services. Any valuation, estimate, offer discussion, closing timeline, or property analysis is preliminary and informational unless and until a written agreement is signed by all required parties. Local Close does not provide legal, tax, accounting, lending, appraisal, title, insurance, or investment advice.
2. Eligibility and Accurate Information
You represent that you are at least 18 years old and that information you submit is truthful, current, and complete. If you submit information about a property, you represent that you are the owner, an authorized representative, or otherwise have a legitimate right to communicate about the property.
3. Calls, Texts, TCPA, and 10DLC Notice
By providing a phone number, email address, mailing address, or other contact information, you authorize Local Close and its service providers to contact you about your inquiry, property, appointments, documents, potential transactions, customer service, and related real estate opportunities. Communications may include calls, texts, MMS, email, prerecorded messages, artificial voice messages, or automatic telephone dialing systems where permitted by law.
Consent to receive marketing calls or texts is not required as a condition of buying, selling, or using our services. Message frequency varies. Message and data rates may apply. Reply STOP to cancel SMS/MMS messages. Reply HELP for help. You may also contact us through localclose.com. Mobile carriers are not liable for delayed or undelivered messages.
Local Close does not sell, rent, or share SMS opt-in consent, mobile numbers, or text messaging data with third parties or affiliates for their own marketing or promotional purposes. We may share this information with vendors, carriers, aggregators, and compliance providers only as needed to deliver messages, operate the messaging program, keep compliance records, prevent fraud or abuse, comply with law, or protect rights and safety. You agree that the number you provide belongs to you or that you are authorized to provide it.
4. Electronic Records and No Binding Agreement Without Signed Writing
You consent to conduct business electronically and agree that electronic records, disclosures, notices, signatures, initials, clickwrap acceptance, and checkbox consent may have the same legal effect as paper records and handwritten signatures. No website content, form submission, text message, call, email, estimate, verbal statement, or draft document creates a binding obligation to buy, sell, lease, finance, or close a real estate transaction. A binding transaction requires a written agreement signed by all required parties and satisfaction of applicable contingencies, title review, inspections, disclosures, and closing requirements.
5. Prohibited Conduct
You may not submit false information, impersonate another person, interfere with the site, upload malicious code, scrape data without permission, violate another party's rights, send unlawful or abusive communications, or use our services for any illegal, fraudulent, deceptive, or harmful purpose.
6. Third-Party Services
We may use third-party platforms for hosting, analytics, advertising, maps, forms, call tracking, text messaging, email, CRM, electronic signatures, title, escrow, payment, or other business functions. Those services may have their own terms and privacy policies. Local Close is not responsible for third-party services we do not control.
7. Disclaimers, Liability, and Indemnity
The site and services are provided "as is" and "as available." Local Close disclaims all warranties to the fullest extent permitted by law. To the fullest extent permitted by law, Local Close and its owners, officers, employees, contractors, agents, vendors, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, and total liability for any claim will not exceed one hundred dollars or the amount you paid directly to Local Close for the specific service giving rise to the claim, whichever is greater.
You agree to defend, indemnify, and hold harmless Local Close and its owners, officers, employees, contractors, agents, vendors, and affiliates from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your use of the site or services, submitted information, violation of these Terms, violation of law, or infringement of another party's rights.
8. Disputes, Changes, and Contact
Before filing a claim, each party agrees to attempt informal resolution by providing written notice and a reasonable opportunity to respond. To the fullest extent permitted by law, disputes must proceed only on an individual basis and not as a class, collective, consolidated, private attorney general, or representative action.
